01 Agreement pending

These Terms of Service ("Terms") govern your access to and use of Syntaxis, including the website, portal, hosted control plane/API, GitHub integration, desktop app, beta programs, documentation, and related services (collectively, the "Service").

The Service is operated by Etenos Inc. ("Etenos", "Syntaxis", "we", "us", or "our"). By using the Service, creating an account, installing the desktop app, connecting GitHub, or purchasing a subscription, you agree to these Terms.

If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

02 The Service pending

Syntaxis is a desktop-centered coding workflow tool for developers. It can scan a local workspace, read GitHub Projects and issues, draft plans and patches through a configured AI runtime, queue side-effecting actions for approval, run approved local commands, apply approved patches, create branches, commit, push, and open or update pull requests depending on your configuration.

The Service is currently a beta product. Beta features may be incomplete, unavailable, changed, suspended, or discontinued at any time.

03 Accounts and Eligibility pending

You must provide accurate account, billing, and contact information. You are responsible for maintaining the confidentiality of your account, device, GitHub account, AI provider account, repository credentials, and local workspace.

You must be at least 18 years old, or the age of majority where you live, to use Syntaxis for paid or professional workflows. You may not use the Service if you are barred from doing so under applicable law.

You are responsible for all activity under your account and for all actions you approve through the desktop app.

04 Subscriptions, Billing, and Taxes pending

Paid plans are billed through Stripe or another payment processor we identify at checkout. By starting a paid plan, you authorize us and our payment processor to charge the applicable subscription fees, taxes, and other disclosed amounts for the selected billing cycle.

Unless stated otherwise at checkout, and subject to applicable law:

  • subscriptions renew automatically until canceled;
  • fees are charged in advance for the selected billing period;
  • fees are non-refundable except where required by law or expressly stated by us;
  • you are responsible for applicable taxes, duties, and similar charges;
  • failed payments may result in suspension or loss of paid access.

Billing details, payment methods, checkout, and invoices may be handled by Stripe under Stripe's own terms and policies. We do not store full payment card numbers in the reviewed Syntaxis implementation.

Automatic Renewal Notice

If you buy a subscription, your subscription will automatically renew at the end of each billing period unless you cancel before renewal. Before you are charged, the checkout flow will disclose the plan, price, billing interval, renewal terms, and cancellation method.

By submitting payment details and completing checkout, you authorize recurring charges until you cancel. We will provide a post-purchase confirmation that includes the renewal terms and cancellation information where required by law.

If we offer a free trial, discounted introductory offer, or promotional price, we will disclose the offer terms, duration, renewal price, and cancellation deadline before you accept the offer.

Cancellation

You may cancel a subscription at any time. Cancellation stops future renewals but does not automatically refund charges already incurred unless required by law or expressly stated by us.

Where required by law, online subscriptions must be cancellable online, without unreasonable delay, obstruction, or unnecessary steps.

Price and Plan Changes

We may change prices or plan features on notice. Price changes will apply to future billing periods unless we state otherwise. Where required by law, we will obtain your consent before a material change to renewal terms takes effect.

05 Desktop App and Local Workspaces pending

The desktop app runs on your machine and may read, summarize, and modify local files only within workspaces you select or open. The app may store local state such as workspace paths, scans, trust settings, work plans, action queues, audit logs, execution records, command output, and patch previews in your local app data directory.

You are responsible for:

  • choosing which workspaces to open;
  • reviewing file context, plans, patches, commands, branch names, commits, pushes, and pull requests before approval;
  • maintaining backups and source-control hygiene;
  • securing your device and local app data;
  • ensuring you have rights to process any code, files, data, or repository content used with Syntaxis.

Syntaxis is designed to gate side effects, but it cannot guarantee that approved commands, patches, commits, pushes, or pull requests will be correct, safe, reversible, or suitable for your environment.

06 Approvals and Side Effects pending

Syntaxis queues side-effecting actions for review and approval, including file writes, shell commands, branch creation, commits, pushes, and pull request creation where supported.

When you approve or execute an action, you are directing Syntaxis to perform that action in your local environment or connected account. You remain responsible for the result, including code changes, build output, dependency changes, data loss, failed checks, broken branches, incorrect pull requests, or third-party service effects.

You should not approve actions you do not understand or cannot safely test. Syntaxis is not a substitute for human code review, security review, compliance review, or production change management.

07 GitHub Integrations pending

You may connect GitHub through the Syntaxis GitHub App or a GitHub personal authorization flow. By connecting GitHub, you authorize Syntaxis to access and process GitHub data within the permissions you grant, which may include repositories, projects, issues, pull requests, checks, reviews, comments, and related metadata.

Depending on your configuration, Syntaxis may:

  • list repositories and projects;
  • store selected repository and project automation settings;
  • poll for eligible tasks;
  • claim or transition GitHub Project items;
  • read issue and pull request metadata;
  • create pull requests;
  • read pull request checks, reviews, and review comments;
  • perform other GitHub operations you approve or configure.

Your use of GitHub remains subject to GitHub's terms, policies, permissions, rate limits, and availability. You are responsible for ensuring that your GitHub organization, repository, and project policies allow the actions you configure.

08 AI Providers and Generated Output pending

Syntaxis can use AI runtimes or providers you configure, such as Codex/OpenAI in the reviewed desktop beta. The desktop app may send task metadata, issue content, selected source files, proposed changes, validation commands, prompts, and generated outputs to that AI runtime/provider when you request AI drafting or patch generation.

AI-generated plans, summaries, proposals, patches, commands, and messages may be inaccurate, incomplete, insecure, infringing, or unsuitable. You are responsible for reviewing and validating all AI-generated output before use.

Third-party AI providers are not controlled by Syntaxis. Their handling of prompts, source code, outputs, account data, retention, training, and security is governed by your account, settings, and agreements with those providers.

09 Your Content and Source Code pending

"Your Content" means code, files, repository metadata, prompts, messages, issue text, pull request content, command output, configuration, and other materials you provide to or process with the Service.

As between you and Syntaxis, you retain your rights in Your Content. You grant us a limited, non-exclusive, worldwide license to host, process, transmit, display, and use Your Content only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.

The reviewed hosted control plane does not accept raw source code or raw command output in synced agent events. However, Your Content may be processed locally by the desktop app, sent to connected third-party services you configure, or shared with us if you paste it into support, beta, or contact channels.

You represent that you have all rights and permissions needed to use Your Content with Syntaxis and connected services.

10 Acceptable Use pending

You may not use the Service to:

  • violate law or third-party rights;
  • access systems, repositories, accounts, data, or networks without authorization;
  • submit malware, secrets you are not authorized to process, or content designed to compromise the Service;
  • abuse, overload, probe, scan, or attack the Service or connected services;
  • bypass approval gates, security controls, billing controls, or usage limits;
  • use generated output to create or deploy harmful code, unauthorized surveillance, phishing, credential theft, spam, or other abusive systems;
  • misrepresent Syntaxis output as human-reviewed when it has not been reviewed;
  • resell or provide the Service to third parties unless we agree in writing.

11 Security and Credentials pending

You are responsible for keeping credentials, API keys, tokens, signing keys, repository access, Git remotes, and local workspaces secure. Do not grant Syntaxis broader access than necessary for your workflow.

You must notify us promptly at syntaxis@etenos.ai if you believe your Syntaxis account, desktop session, GitHub authorization, or related credential has been compromised.

12 Privacy pending

Our Privacy Policy explains how we collect and process personal data. By using the Service, you acknowledge the Privacy Policy.

13 Feedback pending

If you provide feedback, suggestions, bug reports, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation. We will not intentionally publish your confidential information as feedback without permission.

14 Intellectual Property pending

We and our licensors own the Service, including software, designs, logos, trade names, documentation, and related intellectual property. Except for rights expressly granted in these Terms, we reserve all rights in the Service.

You may not copy, modify, reverse engineer, decompile, scrape, or create derivative works of the Service except where allowed by law or by a separate written license.

15 Third-Party Services pending

The Service integrates with third-party services such as Stripe, GitHub, OpenAI/Codex, Anthropic/Claude when supported, local Git tooling, operating system APIs, hosting providers, and email/support providers.

We are not responsible for third-party services, accounts, content, availability, security, policy decisions, rate limits, data practices, pricing, or changes. Your use of third-party services is governed by their own terms and policies.

16 Availability, Changes, and Support pending

We may modify, suspend, limit, or discontinue any part of the Service at any time. We may release updates to the desktop app, portal, API, pricing, or integrations. Some changes may be required for security, compliance, third-party API changes, or beta product development.

Support is provided on a reasonable-efforts basis unless we agree otherwise in writing. We do not guarantee any service level, uptime, response time, or delivery timeline in these Terms.

17 Suspension and Termination pending

We may suspend or terminate access to the Service if:

  • you violate these Terms;
  • payment fails or a subscription becomes inactive;
  • your use creates security, legal, operational, or reputational risk;
  • a third-party integration is revoked, expires, or becomes unavailable;
  • we are required to do so by law or a third-party provider.

You may stop using the Service at any time. Termination does not affect obligations that should reasonably survive, including payment obligations, confidentiality, ownership, disclaimers, limitations of liability, and dispute provisions.

18 Disclaimers pending

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation.

We do not warrant that Syntaxis will produce correct code, safe patches, successful builds, passing tests, secure output, compliant workflows, uninterrupted service, or reversible changes.

19 Limitation of Liability pending

To the fullest extent permitted by law, Syntaxis and Etenos Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, security incidents, repository damage, production outages, or cost of substitute services.

To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of: (a) the amount you paid to us for the Service in the 12 months before the event giving rise to the claim; or (b) USD 100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

20 Indemnity pending

If you use the Service on behalf of a business or organization, you will defend, indemnify, and hold harmless Syntaxis, Etenos Inc., and our affiliates, personnel, and service providers from claims, damages, liabilities, losses, and expenses arising from your use of the Service, Your Content, approved actions, connected repositories, violation of these Terms, or violation of law or third-party rights.

21 Governing Law and Disputes pending

Nothing in these Terms limits rights that cannot be waived under applicable U.S. federal or state consumer protection, privacy, subscription renewal, or unfair/deceptive practices laws.

23 Export and Sanctions pending

You may not use, export, or re-export the Service except as authorized by applicable law. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, and that you are not on any restricted-party list that would prohibit your use of the Service.

24 Changes to These Terms pending

We may update these Terms from time to time. We will update the date above and, where required, provide additional notice. Continued use of the Service after updated Terms take effect means you accept the updated Terms.
